Terms of Sale

These Terms of Sale (“Terms”) govern products and related services purchased from Sunpal Enterprise (“Sunpal”, “we”, “us” or “our”) through sunpal.my, the Sunpal customer application, an accepted quotation, invoice or other channel that refers to these Terms.

Please read them carefully before ordering. By placing an order, you confirm that you understand and agree to these Terms. Nothing here excludes rights that cannot be limited under Malaysia’s Consumer Protection Act 1999 or other mandatory law.

1. About these Terms

Our contact details appear on the Contact page and on order documents. Product pages, quotations and order confirmations form part of your contract together with these Terms, our Shipping Policy, Returns & Refunds Policy and Warranty Terms.

If documents conflict, the following order applies: (a) an accepted quotation or order confirmation; (b) product-specific or installation terms; (c) these Terms; (d) general website descriptions. Mandatory law always prevails.

2. Eligibility

You must be at least 18 and able to form a binding contract. If you order for a company or other organisation, you confirm you are authorised to bind it. Consumer protections that apply only to personal or household purchases may not apply to business orders.

3. Products and suitability

We describe products carefully. Images are illustrative. Colour, finish, dimensions, firmware, accessories and packaging may vary slightly by batch. A minor variation that does not materially reduce function is not a defect.

Solar and storage performance depends on location, weather, shading, load, design, grid conditions, battery age and settings. Unless we guarantee a result in writing, generation, savings, runtime and payback figures are estimates only.

You are responsible for accurate information about intended use and site conditions. Products must be selected, transported, stored, installed and maintained according to manufacturer instructions and applicable safety rules.

4. Orders and contract formation

A listing or quotation is an invitation to order, not an acceptance. After you submit an order we will acknowledge it. Acknowledgement or payment authorisation alone does not complete the contract.

A contract is formed when we issue an order confirmation, accept a signed quotation, dispatch the product, or begin the agreed service — whichever comes first. Please check your order and contact us promptly to correct errors.

We may decline or cancel an order before fulfilment for unavailability, pricing error, suspected fraud, verification failure, legal restriction, unsuitable site conditions, or events beyond reasonable control. If we cancel after payment, we refund the affected amount to the original method where reasonably possible.

5. Availability

All products are subject to stock. Lead times are estimates. If an item becomes unavailable, we may offer a reasonably equivalent substitute, a revised timeline, or a refund. We will not substitute a materially different product without your agreement.

6. Pricing

Prices are in Malaysian Ringgit (RM) unless stated otherwise. Checkout or order documents show the full amount payable, including known taxes and delivery charges. Installation, permits, mounting structures, civil works, travel and site upgrades are excluded unless itemised.

If a price is obviously wrong, we may correct it before acceptance and invite you to reorder at the correct price.

7. Payment

Available methods appear at checkout or on the quotation. Payment is due as stated in the order. Deposits and progress payments apply to the relevant order. Except where law requires otherwise, deposits may become non-refundable to the extent needed to cover products ordered, custom work and costs already incurred after acceptance.

8. Delivery and title

Delivery estimates, methods and charges appear at checkout or in confirmation. Dates are estimates unless guaranteed in writing. Risk usually passes on delivery to you or your nominated recipient. Title passes only after full cleared payment. See the Shipping Policy for inspection and damage reporting.

9. Installation

Installation is included only when expressly stated. You must provide safe access, accurate site information and required approvals. Third-party installation must be performed by appropriately qualified persons. Incorrect third-party installation is your responsibility, without limiting our obligations for product defects or non-excludable rights.

10. Cancellations, returns and warranties

Contact us with your order number to request a change or cancellation. There is no general change-of-mind right beyond what we agree or what law requires. Returns and warranty claims follow the Returns & Refunds Policy and Warranty Terms.

11. Consumer guarantees

Where the Consumer Protection Act 1999 applies, goods and services carry guarantees that cannot be excluded by contract — including acceptable quality, fitness for a disclosed purpose, and correspondence with description. Any Sunpal or manufacturer warranty is additional to those rights.

12. Safety

Energy equipment involves voltage, current, heat, weight and stored energy. Follow all manuals and labels. Do not modify, short-circuit, puncture or use damaged batteries or electrical products. Isolate equipment safely and seek qualified help if you observe swelling, leakage, smoke, unusual heat or other hazards.

13. Liability

Nothing in these Terms limits liability for fraud, death or personal injury caused by negligence, or any liability that cannot lawfully be excluded.

Subject to that, we are responsible for loss that is a reasonably foreseeable result of our breach. We are not responsible for loss caused by your breach, inaccurate information, misuse, unauthorised work, or events outside our reasonable control. For business customers, to the fullest extent permitted by law, we exclude loss of profit, revenue, data, goodwill and consequential loss, and limit aggregate liability for an order to the amount paid for the affected product or service.

14. Force majeure

We are not liable for delay caused by events beyond reasonable control, including natural disaster, epidemic, war, government action, transport disruption, utility failure or supplier shortage. We will take reasonable steps to reduce impact and resume performance when possible.

15. Privacy and notices

We process personal data as described in our Privacy Policy. Order notices may be sent electronically to the contacts you provide.

16. Disputes

Please contact us first via the Contact page or customer app with your order number and a clear description of the issue. Eligible Malaysian consumers may also consider the Tribunal for Consumer Claims Malaysia (TTPM). These Terms are governed by the laws of Malaysia.

17. General

These Terms and the applicable order are the entire agreement for the sale, without excluding liability for fraud. If a provision is invalid, it will be severed to the minimum extent necessary. A delay in enforcement is not a waiver.
